Component Marketplace Terms

Terms for creating, selling, and purchasing components in the Coordinated Marketplace

Introduction

The Coordinated Component Marketplace ("Marketplace") allows developers and designers ("Creators") to create and sell custom components, templates, and design elements that instructors can use to enhance their marketing pages.

These Marketplace Terms govern your participation as either a Creator selling components or an Instructor purchasing and using components. By participating in the Marketplace, you agree to these terms.

1. For Component Creators

1.1 Creator Account

To sell components in the Marketplace, you must:

  • Create a Creator account with accurate information
  • Verify your identity and payment information
  • Agree to these Marketplace Terms and our Creator Guidelines
  • Maintain your account in good standing

1.2 Component Submission

All components submitted to the Marketplace must:

  • Be original work created by you or properly licensed
  • Not infringe on any third-party intellectual property rights
  • Be fully functional and tested
  • Include clear documentation and usage instructions
  • Meet our quality standards and design guidelines
  • Be properly categorized and tagged
  • Include accurate previews and screenshots

1.3 Review Process

All component submissions are reviewed by our team before being published. We review for:

  • Code quality and security
  • Design quality and responsiveness
  • Functionality and compatibility
  • Intellectual property compliance
  • Adherence to our guidelines

We reserve the right to reject any component for any reason. We may request changes before approval.

1.4 Pricing and Revenue Share

As a Creator, you:

  • Set your own component prices (subject to minimum pricing requirements)
  • May offer free or paid components
  • Receive 70% of component sales revenue (Coordinated retains 30%)
  • Receive payouts monthly for earnings over $50

1.5 Licensing

When you sell a component, you grant purchasers a license to use the component according to the license type you specify:

  • Single Site License: Use on one marketing page
  • Multi-Site License: Use across all instructor pages
  • Extended License: Use for unlimited pages with resale rights

You retain ownership of your components but grant Coordinated a license to distribute them through the Marketplace.

1.6 Support and Updates

As a Creator, you agree to:

  • Provide reasonable support to purchasers
  • Fix critical bugs within a reasonable timeframe
  • Provide updates to maintain compatibility with platform changes
  • Respond to purchaser questions and issues

1.7 Prohibited Content

Components must not:

  • Contain malicious code, malware, or security vulnerabilities
  • Collect user data without disclosure and consent
  • Infringe on intellectual property rights
  • Contain inappropriate, offensive, or illegal content
  • Violate any laws or regulations
  • Misrepresent functionality or features

1.8 Removal and Suspension

We may remove components or suspend Creator accounts if:

  • Components violate these terms or our policies
  • Components contain security issues or bugs
  • Creators fail to provide required support
  • Intellectual property infringement is reported
  • Components receive consistently poor reviews

2. For Component Purchasers

2.1 Purchasing Components

When you purchase a component:

  • You receive a license to use the component according to the license terms
  • Payment is processed immediately
  • You can download and access the component from your account
  • You receive updates and support according to the component terms

2.2 License Compliance

You agree to:

  • Use components only according to the purchased license type
  • Not redistribute or resell components (unless extended license)
  • Not reverse engineer or extract code for reuse
  • Not claim ownership of components you didn't create

2.3 Refund Policy

Component purchases are generally final. Refunds may be granted within 14 days if:

  • The component has critical defects that cannot be fixed
  • The component does not match its description
  • You purchased duplicate licenses accidentally

Refund requests are reviewed on a case-by-case basis. Refunds are not provided for buyer's remorse or change of plans.

2.4 Component Support

Support is provided by component Creators. Coordinated is not responsible for component functionality, bugs, or Creator support. If a Creator becomes unavailable, we may provide limited assistance.

2.5 Reviews and Ratings

You may review and rate components you purchase. Reviews must:

  • Be honest and based on your actual experience
  • Not contain offensive or inappropriate language
  • Not violate intellectual property rights
  • Not be posted in exchange for compensation

3. Intellectual Property

3.1 Creator IP Rights

Creators retain ownership of their components. By submitting components, Creators grant Coordinated a non-exclusive license to:

  • Display and distribute components through the Marketplace
  • Use component previews for promotional purposes
  • Create derivative works for quality assurance and compatibility

3.2 DMCA Compliance

We comply with the Digital Millennium Copyright Act. If you believe a component infringes your intellectual property rights, submit a DMCA notice to:

3.3 Counter-Notices

If your component is removed due to a DMCA claim, you may submit a counter-notice if you believe the removal was erroneous.

4. Payment Terms

4.1 Creator Payouts

For component Creators:

  • Payouts occur monthly for balances over $50
  • Revenue share is 70% to Creator, 30% to Coordinated
  • Payouts are via bank transfer or PayPal
  • Tax forms may be required (W-9, W-8BEN, etc.)
  • You are responsible for taxes on your earnings

4.2 Chargebacks and Refunds

If a purchaser requests a chargeback or refund, the corresponding revenue will be deducted from your future payouts. Excessive chargebacks may result in account suspension.

4.3 Fee Changes

We may adjust Marketplace fees with 30 days advance notice. Fee changes do not apply retroactively to existing sales.

5. Warranties and Liability

5.1 Creator Warranties

Creators warrant that their components:

  • Do not infringe on third-party rights
  • Do not contain malicious code
  • Function as described
  • Comply with all applicable laws

5.2 Disclaimer

COMPONENTS ARE PROVIDED "AS IS" WITHOUT WARRANTY. COORDINATED DOES NOT WARRANT COMPONENT QUALITY, FUNCTIONALITY, OR FITNESS FOR A PARTICULAR PURPOSE.

5.3 Limitation of Liability

COORDINATED IS NOT LIABLE FOR ANY DAMAGES ARISING FROM COMPONENT USE, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION. CREATORS ARE SOLELY RESPONSIBLE FOR THEIR COMPONENTS.

5.4 Indemnification

Creators agree to indemnify Coordinated against claims arising from their components, including intellectual property infringement, security issues, or other violations.

6. Dispute Resolution

Disputes between Creators and purchasers should first be resolved directly. If resolution is not possible, either party may contact Coordinated support for mediation assistance.

Disputes with Coordinated are subject to binding arbitration as outlined in our main Terms of Service.

7. Changes to Marketplace Terms

We may update these Marketplace Terms at any time. Material changes will be announced with at least 30 days notice. Continued participation in the Marketplace after changes take effect constitutes acceptance.
