Acceptance of terms
By accessing or using Coordinated, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.
Accounts and registration
To use most features of Coordinated, you must create an account. When you create an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security of your password and account
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized access or use
You must be at least 18 years old to create an account. By creating an account, you represent that you are at least 18 years of age.
Acceptable use
You agree to use Coordinated only for lawful purposes and in accordance with these terms. You agree not to:
- Violate any applicable local, state, national, or international law
- Infringe upon or violate our intellectual property rights or the rights of others
- Harass, abuse, or harm another person
- Transmit any malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to our systems or networks
- Interfere with or disrupt the platform or servers
- Use automated systems to access the platform without permission
- Impersonate another person or entity
Instructor obligations
If you use Coordinated as an instructor, you additionally agree to:
- Comply with all applicable laws regarding your business operations
- Provide accurate information about your services, schedules, and pricing
- Conduct yourself professionally with students and families
- Respond promptly to customer inquiries and issues
- Honor your commitments to scheduled sessions and programs
- Maintain appropriate insurance and certifications for your activities
You are solely responsible for your instructor business and the services you provide. Coordinated is a platform provider and is not responsible for the quality, safety, or legality of instructor services.
Payments and fees
Subscription fees for Coordinated are charged as specified in your selected plan. By subscribing, you authorize us to charge your payment method on a recurring basis.
Additional terms regarding payments:
- Fees are billed in advance on a monthly or annual basis
- All fees are non-refundable except as required by law
- We may change our pricing with 30 days notice
- You're responsible for all applicable taxes
- Payment processing is handled securely through third-party providers
For instructors who process payments through Coordinated, transaction fees and processing terms are described in your plan details and payment processor agreements.
Content and intellectual property
You retain ownership of all content you upload to Coordinated (including schedules, descriptions, photos, and communications). By uploading content, you grant us a limited license to use, store, and display your content as necessary to provide our services.
The Coordinated platform, including all software, features, functionality, and branding, is owned by us and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our platform without our written permission.
Termination
You may close your account at any time through your account settings. Upon closure, you will lose access to your account and all associated data.
We may suspend or terminate your account if you violate these terms, engage in fraudulent activity, or for any other reason we deem necessary to protect our platform or users. We'll provide notice when possible, but we reserve the right to terminate immediately in serious cases.
Upon termination, certain provisions of these terms survive, including those related to payment obligations, intellectual property rights, disclaimers, and limitations of liability.
Disclaimers and limitation of liability
Coordinated is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the platform will be uninterrupted, secure, or error-free.
To the maximum extent permitted by law, Coordinated shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.
Our total liability for any claims arising from or related to these terms or our services is limited to the amount you paid us in the 12 months preceding the claim.
Indemnification
You agree to indemnify and hold harmless Coordinated and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services, violation of these terms, or infringement of any rights of another party.
Changes to terms
We may modify these Terms of Service at any time. If we make significant changes, we'll notify you through your account dashboard or by email. Your continued use of Coordinated after changes take effect constitutes acceptance of the updated terms.
Governing law and disputes
These terms are governed by and construed in accordance with the laws of the jurisdiction where Coordinated is registered, without regard to conflict of law principles.
Any disputes arising from these terms or your use of Coordinated will be resolved through binding arbitration in accordance with applicable arbitration rules, rather than in court. You waive any right to a jury trial or to participate in a class action lawsuit.
